UPDATE: MARCH 10, 2022 - LEGAL FEE UPDATE!

Fellow Homeowners:

Today we publish the unnecessary legal expenses from January through February totaling $8470.00! Added to the legal expenses for December and January, we now have legal fees greater than $12,500, AND GROWING!

These expenses were incurred to build a wall around what this Board is doing and try to prevent you, the homeowner, from being in-the-know.

We are doing everything we can to fight back and protect your rights. We need your help.

A homeowner emailed HOA Board President, Todd Richard, the email below asking for clarification on some issues regarding the community.

He then passed along that email to Sam Chilakos, Eagle Ridge HOA Attorney, who promptly replied with intimidation, insults and threats of litigation. This response was sent to a senior citizen who has lived in this community for over 20 years. All she requested was an a consideration of her concerns. Why? Why would a homeowner be treated this way?

There has been a change in the Board's officers.

All homeowners should be aware: this is ONLY allowed in Open Session (a General Association Meeting).

Once again, the Board is not standing by their campaign promises of transparency, honesty, and integrity. If they were, they would have waited to make this change at our next General Association Meeting for all the hear.

SELECTING OFFICERS

Open Meeting. Selecting officers is normally done at an organizational meeting immediately following the annual meeting but may be done at a later date subject to any time requirements that may be contained in the governing documents. The
selection of officers is done at an open meeting since it does not qualify as an executive session meeting. Accordingly, members have a right to attend the meeting and observe the process.

Please read his position carefully. He campaigned on the idea of replacing Ross Morgan for over 10 years.
How could the Board, who ran on this proposal — for years
— switch their position, within minutes of begin elected?

Did the Board use good business judgment by returning to Ross Morgan?  Did they do their due diligence to evaluate the best value for our Association?

We are right back to same situation Todd complained about in this post.

We deserve better.

The True Costs Of Management - Ross Morgan V. Lordon

​At last Wednesday night's General Association meeting, Todd Richard and Neil Weiner stated they fired Lordon and rehired Ross Morgan because Lordon was more expensive. The actual records, attached below, do not support that claim.

I will attend as my attorney instructed for tonight - for all the reasons listed and I want to see evidence of what your attorney, Sam, said he had and I will not let that go. To send this now is disingenuous when just hours ago - via Sam- I got utter nonsense. So my attorney needs to address his lies.  
 
Please review my lawyers letters with regard to tonight for all the obvious reason -  had anyone contacted me prior perhaps we could have worked other arrangements. 

That said - if you are willing to allow common sense to prevail I would suggest to set a meeting and give me proper notice not - 1 hour 

I would strongly suggest we do a meeting ALL OF US- Friday during the day or Saturday during the day and not at Todd’s office - at the pool side perhaps - call it an emergency meeting or what ever you choose - without Sam- if he shows then I need my lawyer 

Please let me know tomorrow and I will meet you four.

Dave it is a fundamental principle in our society that an accused has a right to counsel when he is being striped of his rights. You did it in absentia last week and you are trying do it again.  

What I don’t like is the dishonesty and going behind my back to attempt to do this a second time without benefit of counsel.  

You read Chilakos’ letters and emails. Would you want your client in a room with him coming at you in the unhinged and untethered way he has gone after the Celozzi’s over the past several months?   Put it another way, if you were the accused would you want to be in a room with him without the benefit of counsel? 

He has threatened multiple HOA members with litigation, his letters are less than truthful and he has created liability for the HOA and board.  No one needs to get in a he said she said with him.

Still waiting for the “other relevant documents” and whether Ross Morgan was the source. Was Ross Morgan the landlord who threatened to treat Nicki as a trespasser last week if he attempted to attend the executive session where he was stripped of his directorship?

Alan- to make matters worse if you could this board put out a letter to the association a five page letter look like someone wrote it at a high school

They made a lot of false accusations with regard to the past property management Lordon - accusing them of possible theft /misappropriation of funds just to name a few things. This Board knows they’re not true -- we discussed all these matters in a meeting and there is evidence to the contrary and they knew it. I also told them that they needed to call Lordon and ask these questions directly. 

They put out this letter without me reviewing and/or approvals-I had no idea and they included me in it. I know for a fact that Lordon has  hired an attorney and now we have opened up ourselves to a possible lawsuit! 

Dave, your an accountant --your number‘s guy --how could you allow them to put this kind of a letter out? Look at the financial for the last 2-4 years - I told you this place went underwater because of the bad management from the property manager <Ross Morgan> -just take a look at it you can figure it out. 

But nobody wanted to.

They only did this to distract in hiring in Ross Morgan /that’s what this is, It's  about gaslighting Lordon to create some kind of smoke while they hired Ross Morgan for all these false reasons. 

I told you /you guys didn’t need a reason to get rid of them -if you wanted to fire Lordon then fire them but why lie about it -I said this to Sam and I said this to Todd

Alan, you’re gonna have to write the Board and they’re gonna have to put out a retraction to that letter and then tell the association one board member disagrees from that letter or retract all that nonsense so we don’t get sued.

Please tell them -Don’t ever put out a letter again and use my name without me reviewing it 

The Association is gonna know the truth I’m not gonna stand behind the Association being lied to -I will not lie for anybody and I will not let any disingenuous information get out.

Which you need to do immediately is replace Aam and hire an HOA attorney with experience that will put the association and its interests first. Not loyal to Michelle, not loyal to me, loyal to the association and what’s best for this community.

Let me ask you a very simple question:
If you all wanted was to re-hire Ross Morgan and you all like Marty ,then why did you replace the Board? Because what you have now is what you had last year -two years ago -five years ago -10 years ago. Nothing changed, so why did we do that recall. 

You have now have exactly what you had for the last 15 or 20 years. People came together because they wanted  change -all you did was shove them exactly what they didn’t want.

Dear Fellow Homeowners,

As we mentioned in our last Town Hall, one of the newly elected Board members came forward to reveal concerns about the current Board’s actions.  

This member/Director had been critical of Ross Morgan and was unwilling to "just go along" with Board actions he disagreed with and was unilaterally removed from the Board.  The Board would not allow a hearing or provide copies of the documents they used to remove him.   

​The Board is now attempting to fill a vacant seat without first explaining to the duly elected Director why he was removed in a closed-door session.  The reason initially given by HOA Counsel was that the HOA Director's house was held in trust and the name of the trust did not include his family name.  Even though he was vetted and determined to be qualified by Ross Morgan, before the election in May 2021, the Director was told he must provide HOA Counsel with a copy of his Trust instrument to prove qualifications, otherwise he would be removed from the Board and replaced.  The HOA Counsel was provided with all of the information he needed to confirm eligibility to serve as Director before the closed-door session.  No other explanation was given for his removal.

Attached to this email, you will find a letter from his attorney, sent to the current Board today, detailing those concerns and adding new ones. 

We urge you to read this letter carefully and fully. 

The concerns addressed are violations of the California Civil Code, California Corporation Code, and the Davis-Stirling Act (the law that governs HOAs) by the Board, Sam Chilakos (HOA council), and Tony Barbarotto of Ross Morgan. 

At the next Town Hall Meeting this Wednesday evening, we will be joined by this Board member, who will address these matters and discuss any questions you may have.

We look forward to seeing you Wednesday, January 19 @ 7:00 pm.

Ladies and gentlemen of the board, HOA Counsel and Ross Morgan parties:

Nicolas Celozzi was unlawfully removed from the Board on January 12, 2021 on the basis of “other relevant documents.”  

Multiple requests for these documents were made in exercise of Nicki’s due process rights because Mr. Celozzi was not permitted to appear at this Executive Session even though he was, and still is, a lawfully elected HOA Director.   Mr. Celozzi was told that if he attempted to appear to rebut the charges against him at the Executive Session of the Board, to which he was duly elected,  he would be treated as a criminal trespasser.  

Not one of you has responded to Mr. Celozzi’s multiple requests to review the documents you used to violate Mr. Celozzi’s due process rights and disenfranchise the nearly 1/3 of your members who voted for  Nicki as director so that their voices could be heard. 

We believe your claims regarding these  "other relevant documents” to be fraudulent because there are no legal grounds  to remove Nicholas Celozzi as director under California Civil Code 5105 (c) which governs the issue and overrides any provision of the by-laws to the contrary. We know of no “other relevant documents”  which could possibly serve as the basis for Mr. Celozzi's removal under  California Civil Code 5105 (c) because: (i) the Celozzis are current with all HOA assessments; (ii) No other family members serve on the Board; (iii) Mr. Celozzi has not been convicted of any crime; and (iv) the Celozzis have been HOA members since 2017.

Please see attached correspondence in  response to this illegal action and our request that the Board obtain a second written legal opinion from qualified counsel with Davis Stirling compliance experience before taking further action to deprive HOA members of their rights in clear violation of the law.

Therefore, we are providing this website in order to collect the questions and concerns of Eagle Ridge homeowners to present to the Board at the HOA General Meeting.
